Terms & Conditions

We provide consulting services and may offer licensing of content and/or intellectual property (“Content”) under separate written agreements. Any scope, deliverables, timelines, fees, and licensing terms will be defined in a proposal, statement of work, invoice, or licensing agreement (collectively, “Service Agreement”). If these Terms conflict with a Service Agreement, the Service Agreement controls.

Unless expressly stated in a written agreement, our services and any information provided are for general informational purposes and do not constitute legal, financial, tax, or other professional advice. You are responsible for decisions you make based on our work and for obtaining independent professional advice as needed.

All website materials, including text, graphics, logos, designs, and other content, are owned by or licensed to KG-Consulting-Content-Licensing and are protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from our site content without written permission.

If we license Content to you:

• The license is granted only when confirmed in writing (e.g., a signed agreement or written authorization).
• Use is limited to the rights expressly granted (scope, territory, term, media, attribution, exclusivity, etc.).
• No rights are transferred except as explicitly stated.
• Unauthorized use, sharing, resale, or sublicensing is prohibited unless explicitly permitted in writing.

Fees and payment terms will be stated in a Service Agreement or invoice. Unless otherwise stated:

• Payments are due upon receipt or within the timeframe listed on the invoice.
• Late payments may result in paused work and/or late fees as permitted by law.
• You are responsible for any applicable taxes.

Unless expressly stated in a written Service Agreement, all fees are non-refundable, especially for time-based consulting, reserved capacity, and delivered digital content. If we choose to issue a refund in any situation, it is at our sole discretion unless required by law.

You agree to provide timely access to required information, materials, approvals, and points of contact. Delays caused by missing inputs or approvals may shift timelines and may require additional fees.

The website and services are provided on an “AS IS” and “AS AVAILABLE” basis. We make no warranties, express or implied, regarding accuracy, reliability, fitness for a particular purpose, or uninterrupted availability.

To the maximum extent permitted by law:

• We will not be liable for indirect, incidental, special, consequential, or punitive damages.
• Our total liability for any claim related to the website or services will not exceed the amount you paid to us in the three (3) months preceding the event giving rise to the claim (or $100 if no fees were paid), unless a written Service Agreement states otherwise.

You agree to indemnify and hold harmless KG-Consulting-Content-Licensing from claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the website, violation of these Terms, or violation of third-party rights.

We may suspend or terminate access to the website or discontinue services if you violate these Terms, fail to pay, or engage in unlawful behavior. Either party may terminate a Service Agreement as described in that agreement.

These Terms are governed by the laws of [Insert State/Country], without regard to conflict-of-law rules. Any disputes will be brought in the courts located in [Insert County/State], unless otherwise required by law or stated in a Service Agreement.

We may update these Terms periodically. The updated version will be posted with a revised Effective Date. Continued use of the website after changes constitutes acceptance of the updated Terms.
